Letter to Shareholders re ASX de-listing

As you may be aware, the Australian Stock Exchange has recently adjusted its listing rules with respect to Foreign Exempt Entities. IT Capital is no longer eligible for listing under the foreign exempt status and IT Capital's board has come to the conclusion that applying for a full listing is not an appropriate or cost effective option.



IT Capital has formally notified the ASX of our intention to be automatically removed from the official list effective July 1st, 2002. Shares in IT Capital (ASX:ITP) may be traded on the ASX up until that date. After this date, Australian Shareholders may trade their shares on the New Zealand Stock Exchange.



If your current broker is not able to trade on the NZSE for any reason we will assist you in finding a suitable alternative."
